1. Acceptance and Changes
By accessing or using Swivel, you agree to these Terms. We may update these Terms from time to time, and changes take effect when posted. If you continue using the Platform after updates, you accept the revised Terms.
If you do not agree, do not use the Platform. These Terms work together with our Privacy Policy, Payment Policy, Dispute Resolution & Refund Policy, Content Moderation Policy, and Community Guidelines.
2. Eligibility and Account Verification
Rules for who can sell and how verification works.
For Sellers: To list and sell items on Swivel, you must be a currently enrolled student at a recognized tertiary institution in Ghana. You agree to provide truthful and accurate information for verification, which may include your student ID or university email. Falsifying this information may result in account termination.
For Buyers: While buyers may browse and purchase without full verification, Swivel may introduce mandatory verification to maintain platform security.
You must be at least 18 years old or have legal guardian consent to use the Platform.
You are responsible for maintaining account security, including safeguarding your password and device access. You must notify us promptly of unauthorized use.
3. The Swivel Marketplace
What the marketplace is and your responsibilities.
Swivel provides a marketplace that connects buyers and sellers. Swivel is not a party to transactions between users. Sellers are responsible for accuracy, quality, legality, and timely fulfillment of listings. Buyers should read listings carefully before purchasing. We may remove listings that violate policies.
Sellers are responsible for stating the condition of items, applicable return terms, and delivery timelines. Buyers are responsible for reviewing listings before purchase and communicating with sellers in good faith.
4. Payments, Fees, and Escrow Service
How payments, fees, and payouts work on Swivel.
Transactions must be processed through Swivel's secure payment system, powered by Paystack. Funds are held in escrow until the buyer confirms receipt or the auto-release timer expires.
- Service Fee: Sellers pay a 4% service fee on completed sales. The fee is displayed before listing and automatically deducted from payouts.
- Offline Transactions: Taking transactions offline to avoid fees violates these Terms and removes platform protections.
- Payment Policy: Additional rules are described in the Payment Policy.
You authorize Swivel and payment partners to charge or credit your payment method in accordance with these Terms and related policies.
5. Shipping, Delivery, and Risk of Loss
Sellers are responsible for delivery or fulfillment as described in the listing. Risk of loss passes to the buyer upon confirmed receipt or as determined in a dispute. Delivery timelines and methods must be clearly stated in the listing.
For services or digital items, delivery is complete when the service is provided or digital access is granted, as evidenced in the Platform.
6. Returns, Cancellations, and Disputes
Returns and cancellations are governed by the seller's stated return policy and Swivel's Dispute Resolution & Refund Policy. Buyer’s remorse is generally not covered unless the seller agrees otherwise.
Sellers must honor any return or cancellation commitments they publish in listings, subject to dispute outcomes.
7. Prohibited Conduct
- Listing prohibited or illegal items.
- Fraud, scams, chargeback abuse, or manipulation of disputes.
- Harassment, hate speech, or abusive behavior.
- Attempting to bypass Swivel fees or payment systems.
- Infringing intellectual property rights.
We may remove listings or restrict access to protect users, comply with laws, or address safety risks.
8. Content and Intellectual Property
You retain ownership of content you post, but you grant Swivel a non-exclusive, worldwide, royalty-free license to host, display, distribute, and use your content to operate and promote the Platform. You represent that you have the rights to post such content.
If you submit feedback, you grant Swivel a perpetual, royalty-free right to use it without compensation.
9. Third-Party Services
We rely on third-party services such as payment processors and hosting providers. Their terms and privacy policies may also apply to your use of those services.
10. Termination and Enforcement
We may suspend or terminate accounts that violate these Terms or other policies. We may remove content, withhold payouts for suspected fraud, and cooperate with law enforcement where required.
We may also enforce these Terms to protect users, the integrity of the marketplace, or the safety of the community.
11. Disclaimers
The Platform is provided on an "as is" and "as available" basis. We do not guarantee uninterrupted service or that listings are error-free.
We do not control or guarantee the quality, legality, or safety of items listed by users.
12. Limitation of Liability
Swivel connects buyers and sellers but is not a party to transactions. Our liability is limited to the service fees you paid to Swivel in the preceding three months, to the extent permitted by law.
13. Indemnity
You agree to indemnify and hold Swivel harmless from claims, damages, and expenses arising from your use of the Platform, your content, or your violation of these Terms.
14. Governing Law
These Terms are governed by the laws of the Republic of Ghana. Any disputes will be brought in the courts of Ghana, unless otherwise required by applicable law.
15. Notices and Communications
We may send notices through the Platform, by email, or other reasonable methods. You agree that electronic communications satisfy any legal notice requirements.
16. Severability and Assignment
If any provision of these Terms is found unenforceable, the remaining provisions remain in effect. You may not assign your rights under these Terms without our consent; we may assign our rights as part of a business transfer.
17. Entire Agreement
These Terms and referenced policies constitute the entire agreement between you and Swivel regarding the Platform.
